We, Tan Wang Cheow and Sudeep Nair, being two of the Directors of Food Empire Holdings Limited, do hereby state that, in the opinion
of the Directors:
(i) the accompanying balance sheets, consolidated income statement, consolidated statement of comprehensive income, statements of
changes in equity, and consolidated cash flow statement together with notes thereto are drawn up so as to give a true and fair view
of the state of affairs of the Group and of the Company as at 31 December 2012 and the results of the business, changes in equity
and cash flows of the Group and the changes in equity of the Company for the year ended on that date; and
(ii) at the date of this statement, there are reasonable grounds to believe that the Company will be able to pay its debts as and when
they fall due.
